Terms of Service
Last updated: April 14, 2026
1. Introduction
These Terms of Service ("Terms") govern your access to and use of the Audyn desktop application ("Software") and the website at audyn.app ("Website"), operated by Audyn ("we", "us", or "our").
By downloading, installing, or using the Software, or by accessing the Website, you agree to be bound by these Terms. If you do not agree, do not use the Software or Website.
2. Merchant of Record
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns related to payment processing.
As a result, "Paddle" (not "Audyn") will appear as the charge descriptor on your bank or credit card statement.
3. License Grant
Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Software on devices you own or control, for personal or professional use.
- Free Plan: You may use the Software with the features and limitations described on the Website at no charge.
- Pro Plan: A paid license that unlocks additional features as described on the Website. The Pro license is granted per user and may be activated on the number of devices specified in your plan.
4. Restrictions
You agree not to:
- Copy, modify, distribute, sell, or lease any part of the Software.
- Reverse-engineer, decompile, or disassemble the Software, except where permitted by applicable law.
- Remove or alter any proprietary notices, labels, or marks on the Software.
- Use the Software for any unlawful purpose or in violation of any applicable laws.
- Attempt to circumvent any license restrictions or security measures.
5. Intellectual Property
The Software, Website, and all related content, trademarks, and intellectual property are and remain the exclusive property of Audyn. These Terms do not grant you any rights to our trademarks, logos, or brand assets.
6. User Accounts
To access certain features, you may need to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use.
7. Age Requirement
You must be at least 16 years old to use the Software and create an account. By using the Software, you represent that you meet this age requirement.
8. Payment and Billing
All payments for the Pro Plan are processed by Paddle.com as our Merchant of Record. By purchasing a license, you agree to Paddle's Terms of Use and Buyer Terms, and acknowledge that Paddle is responsible for payment processing, invoicing, and sales tax/VAT collection.
Paddle's Buyer Terms are available at paddle.com/legal/checkout-buyer-terms.
9. Refunds
Our refund policy is described on our Refund Policy page. Refund requests are handled by Paddle.com as the Merchant of Record.
10. Updates and Changes
We may release updates to the Software from time to time. Some updates may be required to continue using the Software. We reserve the right to modify, suspend, or discontinue the Software or any feature at any time, with or without notice.
11. Disclaimer of Warranties
The Software and Website are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Software will be uninterrupted, error-free, or free of harmful components.
12. Limitation of Liability
To the maximum extent permitted by law, Audyn shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, profits, or goodwill, arising out of or related to your use of the Software or Website.
Our total liability shall not exceed the amount you paid for the Software in the twelve (12) months preceding the claim.
13. Data and Privacy
Your use of the Software and Website is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.
14. Termination
We may suspend or terminate your access to the Software or your account at any time if you violate these Terms. Upon termination, your license to use the Software is immediately revoked. Sections that by their nature should survive termination will remain in effect.
15. Governing Law
These Terms are governed by and construed in accordance with the laws of France, without regard to its conflict of law principles. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of France.
16. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Website with a revised "Last updated" date. Your continued use of the Software after changes constitutes acceptance of the updated Terms.
